Terms and Conditions

1. Agreement to Terms

By enrolling in the Mr. Heals Affiliate Program (the "Program"), you ("Affiliate," "you," or "your") agree to be bound by these Terms and Conditions (this "Agreement"). This Agreement is between you and Mr. Heals LLC, a Wyoming limited liability company ("Mr. Heals," "we," "us," or "our"). If you do not agree to these terms, do not enroll in the Program.

We reserve the right to modify these terms at any time. If we make material changes, we will notify you by email. Your continued participation in the Program after notification constitutes acceptance of the updated terms.

2. Enrollment and Acceptance

Enrollment in the Program is by application and is subject to our approval. We reserve the right to accept or reject any application at our sole discretion. We may also terminate any affiliate account at any time with or without cause. You must be at least 18 years of age and a legal resident of the United States to participate.

You agree to provide accurate and complete information during enrollment, including your legal name, email address, and payout information. You are responsible for keeping this information current.

3. Referral Tracking and Attribution

We track affiliate referrals through the following methods:

1. Referral Links. You will be assigned a unique referral link (e.g., mrheals.com/?ref=YOURCODE). When a customer clicks your link, a tracking cookie is set on their browser.
2. Coupon Codes. You may be assigned a unique discount code. When a customer uses your code at checkout, the order is attributed to you regardless of cookie status.
3. Cookie Duration. Referral cookies expire after 30 days. If a customer makes a purchase within 30 days of clicking your link, you receive credit for the sale.
4. Customer-for-Life Attribution. At our discretion, select affiliates may be granted customer-for-life status. When enabled, any customer you refer is permanently attributed to you. All future orders from that customer will be credited to you, even without a referral link or coupon code. This perk may be granted or revoked at any time.

Attribution priority is as follows: (1) active referral code on the order, (2) matching coupon code, (3) customer-for-life mapping. The highest-priority match wins.

4. Commission Structure

Affiliates are assigned to one of the following commission tiers:

• Master Healer: 20% of the order subtotal (after discounts, before shipping and tax)
• Inner Circle: 25% of the order subtotal (after discounts, before shipping and tax)
• Apothecary Apprentice: $5.00 flat rate per item sold

New affiliates are placed in the Apothecary Apprentice tier by default. Tier upgrades are at our sole discretion based on performance, engagement, and alignment with the brand. Commission rates and tier assignments may be changed at any time with notice.

Commissions are calculated on the order subtotal, which is the amount after any discounts have been applied but before shipping charges and sales tax. Commissions are not earned on shipping fees, taxes, gift cards, or products excluded from the affiliate program.

Personal Purchases. Affiliates are permitted to earn commissions on their own personal purchases made through their referral link or coupon code. This is provided as a cashback benefit in lieu of free product. We reserve the right to modify or revoke this benefit at any time if it is abused.

5. Excluded Products and Orders

The following are excluded from commission calculations:

• Bundled products (e.g., NeuroCharge Bundle, tincture bundles)
• Subscription renewal orders (unless specifically approved in writing)
• Fraudulent, canceled, or fully refunded orders
• Any products we designate as excluded from time to time

If an order is partially refunded, the commission will be adjusted proportionally. If an order is fully refunded, the commission will be reversed entirely.

6. Payment and Payouts

Commissions are tracked in real time and visible in your affiliate portal. Payouts are processed on a monthly basis, typically within the first two weeks of the following month. We reserve the right to hold commissions for up to 30 days after the order date to account for potential refunds or chargebacks.

Our preferred payout method is ACH bank transfer. We also support PayPal and Venmo. You are responsible for providing accurate payout information through the affiliate portal. We are not responsible for payments sent to incorrect account information provided by you.

There is no minimum payout threshold. However, if your balance is under $10.00, we may hold the payout until the next cycle.

Tax Obligations. You are solely responsible for reporting and paying all applicable federal, state, and local taxes on commission income. If you earn $600 or more in a calendar year, we may require a completed W-9 form and will issue a 1099-NEC. We are not responsible for your tax obligations.

7. Affiliate Conduct and Obligations

As a Mr. Heals affiliate, you agree to:

1. Promote Mr. Heals products honestly and in good faith.
2. Not make false, misleading, or unsubstantiated health claims about any product.
3. Comply with all applicable laws, including FTC disclosure requirements. You must clearly and conspicuously disclose your affiliate relationship in any content where you promote Mr. Heals products.
4. Not engage in spam, unsolicited messaging, or any deceptive marketing practices.
5. Not bid on Mr. Heals branded keywords (e.g., "Mr. Heals," "mrheals.com") in paid search advertising without written permission.
6. Not create websites, social media accounts, or content that could be confused with official Mr. Heals properties.
7. Not distribute Mr. Heals products through unauthorized channels or at unauthorized prices.

8. FTC Disclosure Requirements

Federal Trade Commission (FTC) guidelines require that affiliates disclose their material connection to the brands they promote. You must include a clear and conspicuous disclosure in any content where you recommend, review, or promote Mr. Heals products. Examples of acceptable disclosures include:

• "I earn a commission if you purchase through my link."
• "This post contains affiliate links. I may earn a commission at no cost to you."
• "#ad #affiliate #sponsored"

Disclosures must be placed before or near the affiliate link or recommendation, not buried at the bottom of the page or in fine print. Failure to comply with FTC guidelines may result in immediate termination from the Program.

9. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use Mr. Heals trademarks, logos, and product images solely for the purpose of promoting products through the Program. You may not modify our trademarks or use them in any way that implies endorsement, sponsorship, or partnership beyond the affiliate relationship. This license terminates immediately upon your departure from the Program.

10. Data and Privacy

We respect the privacy of our customers and affiliates. You will not receive any customer personally identifiable information (PII) through the Program. Your affiliate portal displays order numbers and commission amounts only. Customer names, email addresses, shipping addresses, and payment information are never shared with affiliates.

Your personal information (name, email, payout details) is stored securely and used solely for program administration and payment processing. We will not sell, share, or distribute your personal information to third parties except as required by law.

11. Termination

Either party may terminate this Agreement at any time, for any reason, with or without notice. Upon termination:

1. Your referral links and coupon codes will be deactivated.
2. You must cease all use of Mr. Heals trademarks and marketing materials.
3. Any pending commissions that have cleared the 30-day hold period will be paid out in the next regular payout cycle.
4. Commissions on orders still within the 30-day hold period may be forfeited if the orders are subsequently refunded or charged back.
5. Customer-for-life attributions will be permanently removed.

We reserve the right to withhold final payouts if we have a good-faith belief that the affiliate engaged in fraud, self-referrals, or other violations of this Agreement.

12. Limitation of Liability

To the maximum extent permitted by law, Mr. Heals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or the Program, including but not limited to loss of revenue, loss of profits, loss of business, or loss of data. Our total liability under this Agreement shall not exceed the total commissions paid to you in the 12 months preceding the claim.

13. Independent Contractor

You are an independent contractor and not an employee, agent, or partner of Mr. Heals. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. You are solely responsible for your own taxes, insurance, and business expenses. You have no authority to bind Mr. Heals in any way.

14. Governing Law and Disputes

This Agreement is governed by the laws of the State of Wyoming. Any disputes arising under this Agreement shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. Each party shall bear their own costs and attorney fees unless the arbitrator determines otherwise.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and Mr. Heals with respect to the Program and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
